These Terms & Conditions (“Terms”) govern your access to and use of the website, services, communications, and any related offerings provided by We Find Supply, Inc. (“Company,” “we,” “us,” or “our”). By using our services, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

1. Scope of Services

We Find Supply, Inc. provides supply sourcing, procurement support, supplier research, logistics coordination, customs assistance, and delivery coordination services. We do not manufacture, sell, resell, store permanently, or warrant any products. All services are provided on a best-efforts basis and are subject to supplier availability, regulatory requirements, and logistical constraints.

2. Client Responsibilities

By engaging our services, you agree to:

Provide accurate, complete, and lawful information
Ensure all requested products are legal to purchase, import, possess, and use in your jurisdiction
Comply with all applicable local, state, federal, and international laws
Pay all agreed-upon fees, taxes, duties, and related costs
Accept responsibility for decisions made based on information provided by suppliers

3. Orders, Samples, and Deliveries

Orders: All orders are subject to supplier confirmation and availability.
Samples: Clients are fully responsible for all sample-related costs, including product cost, shipping, customs duties, taxes, and handling fees.
Order Finality: Once a sample is approved and an order is confirmed, the order is final and non-cancelable.
Delivery Estimates: Delivery timelines are estimates only and may be affected by customs, transportation delays, supplier actions, or events beyond our control.
Mistaken Deliveries: We are not responsible for damages, losses, or missing information related to incorrectly delivered or misdirected goods.

4. Manufacturer & Supplier Disclaimer

We Find Supply, Inc. acts solely as an intermediary and sourcing facilitator. We do not control manufacturers or suppliers and make no representations or warranties regarding:

Product quality or fitness for a particular purpose
Compliance with specifications
Manufacturing accuracy or consistency
Supplier performance or reliability

All risks associated with manufacturing, production, and supplier performance rest solely with the supplier and the client.

While we may assist in communication or dispute resolution in good faith, we do not guarantee refunds, replacements, or outcomes.

5. Fees and Payments

Fees for research, sourcing, consulting, or other time-intensive services may be required in advance.
Fees are charged to ensure proper allocation of time and resources and are non-refundable once work has begun, unless otherwise agreed in writing.
Payment terms will be communicated prior to service commencement.
Late or unpaid balances may result in service suspension or termination.

6. Storage and Pickup

Temporary storage may be provided at our discretion.
Clients must arrange pickup or delivery within seven (7) calendar days.
Storage fees may apply after this period.
Failure to arrange pickup or pay applicable fees may result in liquidation, disposal, or sale of goods without liability.

7. Intellectual Property

All website content, branding, text, graphics, and materials are the exclusive property of We Find Supply, Inc. Unauthorized use is strictly prohibited.

8. Limitation of Liability

To the maximum extent permitted by law, We Find Supply, Inc. shall not be liable for indirect, incidental, special, or consequential damages. Our total liability shall not exceed the amount paid for the specific service giving rise to the claim.

9. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, labor disputes, pandemics, supply chain disruptions, or government actions.

10. Indemnification

You agree to indemnify, defend, and hold harmless We Find Supply, Inc., its officers, employees, and agents from any claims, losses, damages, or expenses arising from your use of our services or violation of these Terms.

11. Dispute Resolution & Arbitration

Any dispute shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) in the Commonwealth of Pennsylvania.

12. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.

13. Termination

We reserve the right to suspend or terminate services at our sole discretion for violations of these Terms.

14. Modifications

We may update these Terms at any time. Continued use of our services constitutes acceptance of any revised Terms.
