1. Supply Sourcing Services Under Supply Sourcing Terms and Conditions USA

We Find Supply provides sourcing and procurement support. For example, we may:

  • Research and vet suppliers
  • Compare pricing and identify cost-saving options
  • Coordinate purchasing and production steps
  • Help coordinate shipping and logistics
  • Support customs coordination (we do not act as a customs broker)
  • Coordinate delivery to your location

However, we do not manufacture products, sell goods, resell inventory, or act as a freight carrier. We only store goods if we agree to storage in writing.

Because suppliers and logistics change, results and timelines may change as well. Even so, we work in good faith and use reasonable efforts.

To work with us, you agree to:

3. No Legal, Tax, or Compliance Advice

We do not provide legal, tax, regulatory, customs brokerage, or compliance advice.

Instead, we share general information to support your sourcing decisions. Therefore, you must consult your own legal, tax, customs, or compliance professionals regarding licensing, certifications, labeling, and import/export requirements.


4. Orders, Samples, and Final Orders Under Supply Sourcing Terms and Conditions USA

4.1 Supplier Confirmation

All orders depend on supplier confirmation and availability.

4.2 Samples

You pay all sample costs, including product costs, shipping, duties, taxes, and handling.

4.3 Sample Approval

When you approve a sample, you accept the quality, materials, dimensions, finishes, and specifications shown in that sample.

4.4 Final Orders

Once you approve a sample or confirm a production order, the order becomes final. As a result, you cannot cancel it.


5. Supplier and Product Disclaimer Under Supply Sourcing Terms and Conditions USA

We Find Supply acts as a sourcing partner and intermediary. Suppliers control manufacturing, quality, and timelines.

For this reason, we do not guarantee:

  • Product quality or fitness for a specific use
  • Manufacturing accuracy or consistency
  • Compliance with specifications or regulations
  • Supplier performance, lead times, or reliability

Supplier and manufacturing risk stays with the supplier and the client.


6. Fees, Deposits, and Payments Under Supply Sourcing Terms and Conditions USA

6.1 No Fees Before We Speak

We do not charge fees or request deposits before direct communication with you. First, we explain scope, process, risks, and expectations.

6.2 Service Fee Deposit

After we agree on scope, you must pay a service fee deposit before we begin sourcing, supplier outreach, negotiations, or research.

6.3 Refundable Deposit (With Pricing Documentation)

If you provide verifiable pricing documentation before work begins (such as a quote, invoice, or purchase record):

  • We will make a good-faith effort to find a better price or a materially better alternative
  • If we cannot improve the outcome, we refund the service fee deposit in full

6.4 Non-Refundable Deposit (No Pricing Documentation)

If you do not provide prior pricing documentation, the service fee deposit is non-refundable, even if you decide not to move forward.

6.5 Deposit Purpose

The deposit covers time spent on research, supplier vetting, negotiations, pricing analysis, and feasibility work.

6.6 No Chargebacks

Once work begins, you agree not to dispute, reverse, or charge back service fees, except where Section 6.3 guarantees a refund.


7. Shipping, Storage, Pickup, and Delivery Under Supply Sourcing Terms and Conditions USA

7.1 Shipping Method

Most orders ship from suppliers directly to the client’s designated location (“direct-to-client shipping”). We only provide warehouse storage if we agree to it in writing.

7.2 Delivery Timing

All delivery dates are estimates. For example, customs clearance, port congestion, carrier schedules, weather, labor issues, and government actions can cause delays.

7.3 Delivery Readiness

You must ensure your delivery location can receive freight. This includes:

  • Forklifts or pallet jacks (if needed)
  • Loading docks or ground-level access
  • Adequate labor and space to receive goods

7.4 Refusal or Inability to Receive

If delivery fails due to refusal, unavailability, lack of access, or missing equipment, you remain responsible for all related charges. These may include redelivery, detention, demurrage, storage, and other accessorial fees.

7.5 Warehouse Storage (If Approved)

If we store goods for you, you must schedule pickup within 7 calendar days after we notify you. Pickup must be scheduled in advance.

7.6 Storage Fees (If Assessed)

If storage fees apply after the 7-day window, we may charge:

  • Single pallet (or pallet equivalent): $30 per day
  • Multiple pallets or oversized freight: up to $100 per day

We will notify you before fees begin.

7.7 Waiver of Fees

If we waive or delay fees one time, that does not create a future obligation to waive fees again.

7.8 Optional Delivery From Warehouse

If you request delivery from our warehouse, additional charges apply. We do not guarantee the lowest transportation rates.

7.9 Transportation Risk

Once goods are tendered to a carrier, transportation risk transfers to you. Therefore, we recommend cargo insurance.

7.10 Failure to Act or Abandonment

If goods remain unclaimed or fees go unpaid, we may store, transfer, sell, or dispose of the goods without liability.


8. Returns, Refunds, and Overseas Sourcing

We do not guarantee returns, refunds, exchanges, or replacements.

For overseas sourcing or custom manufacturing, all sales become final once production begins or goods ship. Sample approval confirms acceptance of specifications.


9. Limitation of Liability

We Find Supply is not liable for indirect, incidental, or consequential damages.

Our total liability will not exceed the amount you paid for the service that caused the claim.


10. Force Majeure

We are not responsible for delays or failures caused by events outside our reasonable control. These events may include natural disasters, pandemics, labor disputes, supply chain disruptions, and government actions.


11. Indemnification

You agree to indemnify and hold We Find Supply harmless from claims, losses, or costs arising from your use of our services, your requested goods, or your violation of these Terms.


12. Dispute Resolution and Arbitration (Pennsylvania, USA)

We will first try to resolve disputes in good faith.

If a dispute continues, you agree to binding arbitration administered by the American Arbitration Association (AAA) in Pennsylvania, USA.


13. Governing Law

Pennsylvania law governs these Terms.


14. Termination

We may suspend or terminate services if you violate these Terms.


15. Intellectual Property

All website content, branding, and materials belong to We Find Supply, Inc. You may not use them without permission.


16. Entire Agreement and Severability

These Terms represent the entire agreement between you and We Find Supply. If a court finds any section unenforceable, the remaining sections will still apply.
